Terms of Service - SalesHUD

Agreement to Terms

By accessing or using SalesHUD ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Description of Service

SalesHUD provides a real-time sales call overlay that offers guidance, cue cards, objection handling, and structured note-taking during live sales conversations. The Service includes:

HUD overlay software (desktop app and/or browser extension)
Real-time transcription and cue generation
Integration with meeting platforms and CRMs
Call analytics and team dashboards (plan-dependent)

Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of unauthorized access
Be responsible for all activity under your account

Acceptable Use

You agree not to:

Use the Service for unlawful purposes
Record calls without proper consent as required by applicable law
Attempt to access or reverse-engineer the Service
Use the Service to transmit harmful code or spam
Share account credentials with unauthorized users
Resell or sublicense the Service without written permission

Recording Consent

You are solely responsible for obtaining necessary consent from all call participants before using the Service to record or transcribe conversations. You agree to comply with all applicable laws including two-party consent requirements where applicable.

Subscription and Payment

The Service is offered on a subscription basis. By subscribing, you agree to:

Pay all fees associated with your chosen plan
Provide valid payment information
Automatic renewal unless you cancel before the next billing period (cancellation takes effect at end of current period)
Price changes with 30 days notice

Refunds and Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods. Refunds for annual subscriptions canceled mid-term are evaluated on a case-by-case basis.

Intellectual Property

SalesHUD retains all rights to the Service, including software, design, trademarks, and documentation. You retain ownership of your data (call transcripts, notes, uploaded playbooks). You grant us a limited license to process your data solely to provide the Service.

Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or suspend service for security reasons. We are not liable for service interruptions beyond our reasonable control.

Limitation of Liability

To the maximum extent permitted by law, SalesHUD is not liable for indirect, incidental, consequential, or punitive damages including lost profits, data loss, or business interruption. Our total liability is limited to the amount you paid in the 12 months preceding the claim.

Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

Indemnification

You agree to indemnify and hold SalesHUD harmless from claims arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Termination

We may suspend or terminate your account for violations of these Terms, non-payment, or other reasons at our discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately.

Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

Governing Law
